Terms of Use
In short: CodeMercio is a marketplace where independent authors sell scripts, plugins, themes and kits. You get a license to use what you buy, not ownership of it. Payments go through Stripe or PayPal, files are delivered right after payment, and refunds follow the Refund Policy. Do not resell or share purchased files, do not upload things you have no right to publish, and be honest in reviews and messages. This summary is a convenience; the numbered sections below are what binds us both.
These Terms of Use (the "Terms") are the agreement between you and CodeMercio ("we", "us", "CodeMercio") for your use of https://codemercio.com and everything on it (the "Service"). They apply from November 6, 2026. By creating an account, placing an order, listing a product or otherwise using the Service you accept them. If you do not agree, please do not use the Service.
These Terms work together with the following policies, which form part of the agreement:
- Licenses: what you may do with a purchased product.
- Refund Policy: refunds and your right of withdrawal.
- Support and Installation Policy: what author support and the installation service cover.
- Acceptable Use Policy: what is not allowed on the Service.
- Seller Terms: additional terms if you sell on CodeMercio.
- Privacy Policy and Cookie Policy: how personal data is handled.
- DMCA and Takedown Policy: reporting infringing content.
If two documents conflict, the more specific one wins (for example the Licenses page over these Terms on what a license allows).
About CodeMercio and who you are dealing with
CodeMercio is an online marketplace. Independent authors ("Sellers") list digital products such as scripts, plugins, themes, kits and related services, and customers ("Buyers") license them. We provide the platform, take payment, issue invoices and deliver the files.
- Operator: CodeMercio. Postal address: [postal address: set it in Admin > Site profile].
- Contact: support@codemercio.com or the contact form.
- Who sells: the Seller is the author of the product and is responsible for its content, its compatibility statements, its support and any add-on service sold with it. Your license to use a product is granted by the Seller on the terms of the Licenses page. We act as the marketplace operator that collects the payment and delivers the product.
- When we are the Seller: some listings are published under a brand that we or our staff run (see "Marketplace-operated brands" below). For those listings CodeMercio is the Seller.
Accounts
- You must be at least 16 years old, or have the consent of a parent or guardian, to create an account. If you register for a business, you confirm you can bind it.
- Give accurate information and keep it up to date. Keep your password and any two-factor codes confidential; you are responsible for activity under your account. Tell us promptly if you suspect misuse.
- Signing in with Google, or buying as a guest, still creates an account on CodeMercio. Guest checkout creates an account for the email you give; use "forgot password" to set a password.
- We may require email verification and may use security checks (for example a bot check) when you register, sign in or check out.
- One person or company per account. Do not impersonate others, sell or transfer your account, or create accounts to evade a suspension.
- Seller accounts and public author profiles are approved by us. Registering as a Buyer does not make you a Seller; see the Seller Terms.
- You can close your account from your profile page. Records we must keep (orders, invoices, payments) are retained in pseudonymised form; see the Privacy Policy.
Orders, prices and payment
- Every paid listing shows a regular and an extended license price in USD. The price shown at checkout is the price you pay. Where VAT or sales tax applies, checkout shows the rate and the total before you pay and the invoice states it.
- Tax is worked out from the billing country you select. You must give a correct country and, if you buy as a business, a correct tax ID. We may correct or cancel an order that was placed with wrong tax details.
- Payments are made on the hosted page of a third-party payment provider (for example Stripe or PayPal). Card details go to the provider, not to us. Your bank or the provider may apply their own fees or exchange rates.
- An order is complete when the payment provider confirms payment. Your download links and your license certificate then appear in your account and the invoice is emailed to you. An order that stays unpaid may expire; no license exists until payment is confirmed.
- We may refuse, hold or cancel an order that looks fraudulent, that fails a payment check, or that was priced wrongly because of an obvious error, and will refund anything you paid for it.
- Chargebacks: please contact us before disputing a payment with your bank or PayPal, because we can usually fix the problem faster. If a payment is charged back, the license for that order is revoked while the dispute is open and we may suspend the account until it is resolved. A chargeback on a valid, delivered order is a breach of these Terms.
- Sales are final except as set out in the Refund Policy and where the law gives you a right to a remedy.
- The marketplace keeps a platform fee from each sale (currently 30% by default; a different rate can apply to a particular Seller). The rate that applies is recorded on your order at checkout, so later changes do not alter existing orders. The fee is taken from the Seller's share; it is not added to your price.
Digital delivery and your right of withdrawal
Products are digital content supplied by download straight after payment. At checkout you are asked to confirm that you want immediate access and that, for buyers who have a statutory 14-day right of withdrawal (for example in the EU and UK), that right ends once the download has started. We keep a record of that confirmation with your order. This never affects your statutory rights if a product is faulty or not as described. The details are in the Refund Policy.
Licenses
What you may do with a purchased product is set out in the Licenses page. In short: a license is personal to the purchaser, covers the number of end products stated there, never transfers copyright, and can be revoked if the order is refunded or charged back, or if you seriously breach the license. Many products are delivered as readable source code and without technical copy protection. That is a convenience for you, not permission to copy, share or resell the files.
Using downloaded code safely
- Sellers' files are scanned with automated tools when they are uploaded, but no scan is perfect and we do not review every line of code. Test every product on a staging copy and keep backups before putting it on a live server or customer site.
- You are responsible for the hosting, servers, third-party software, plugins and data the product runs with, and for complying with the laws that apply to your use of it (including privacy and consumer law towards your own users).
- Report suspected malware, hidden data collection or security problems to support@codemercio.com. Do not test the security of the Service itself without our written permission.
Add-ons and services
Some listings offer optional add-ons, such as an Installation Service. An add-on is performed by the Seller (or by us, for a marketplace-operated brand), not by CodeMercio as a separate provider, and its scope is as described on the listing and in the Support and Installation Policy. If an add-on involves access to your server, you give that access at your own risk, so take a backup and use a staging environment where you can. Refunds for add-ons follow the Refund Policy.
Reviews, messages and other content you post
- Your content stays yours. You grant CodeMercio a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, translate and adapt (for example resize or crop) the content you post (reviews, questions and answers, profile text, images, listing descriptions and screenshots) for as long as it is on the Service, to operate it, to promote the Service and the listing it relates to, and to enforce these Terms. Sellers' product files are licensed to Buyers as described in the Seller Terms.
- You confirm you have the rights to what you post and that it follows the Acceptable Use Policy.
- Reviews may be written only by Buyers who purchased the product, must describe your own experience, and must not be paid for, traded for a refund or discount, or written by the Seller or someone linked to them. We may moderate, hide or remove content that breaks the rules, and we handle reports of reviews and messages.
- Messages between Buyers and Sellers are meant for questions about listings and orders. We do not read private messages as a matter of routine, but we may review them when a user reports them, when we investigate fraud or abuse, when the law requires, or to resolve a dispute about an order. Attachments are limited in type and size.
- Keep payment and delivery on CodeMercio. Using messages to move a sale off the platform to avoid fees or protections is not allowed.
Marketplace-operated brands and staff aliases
Some storefront and author identities on CodeMercio are operated by CodeMercio or its staff under a brand name (an "alias"). On those listings CodeMercio is the Seller, replies in messages come from our team using that brand, and revenue is kept by the marketplace instead of being paid out to an independent Seller. Independent Sellers are the authors of their own listings. Aliases are not used to post reviews or to imitate a different independent Seller.
Third-party software, trademarks and independence
Many listings are tools, plugins, scripts, themes or other add-ons for third-party platforms and games, for example Minecraft (Mojang Studios / Microsoft), Discord, Rust (Facepunch Studios) and Hytale (Hypixel Studios), or for web software such as WordPress or Laravel.
- CodeMercio and the Sellers are independent. We are not affiliated with, endorsed by, sponsored by or approved by those companies or projects, and a listing is not an official product of them.
- All product names, logos and brands mentioned on the Service are the property of their respective owners and are used only to describe compatibility ("works with ...").
- Each product must follow the terms, licenses and commercial-use or branding guidelines of the platform it is built for (for example a game's EULA and its rules for paid content). Using a product on a third-party platform is at your own risk and under that platform's rules; a platform operator may change its software or rules in a way that affects a product.
- Rights holders can ask us to remove a listing that misuses their marks or content through the takedown procedure.
Acceptable use
You agree to follow the Acceptable Use Policy. In particular you will not resell, redistribute, share or relist purchased files outside the rights your license gives you; upload content you have no right to publish or that is unlawful, malicious, deceptive or infringing; probe, scan, overload or scrape the Service in a way that harms it; use automated means to buy, download or create accounts in bulk; or harass others.
Intellectual property
Products and listing content belong to their authors or licensors. The CodeMercio name, logo, site design and software belong to us or our licensors. We grant you only the limited rights set out in these Terms. If you send us ideas or feedback, we may use them without obligation to you. If you believe content infringes your rights, follow the takedown procedure; repeat infringers are removed.
Third-party links and services
The Service links to and works with services we do not control (payment providers, sign-in providers, Sellers' demo sites and documentation). We are not responsible for them and their own terms apply when you use them.
Availability and changes to the Service
We aim to keep the Service available but do not guarantee uninterrupted access; maintenance, outages and security measures can interrupt it. We may change, suspend or discontinue features, with notice where reasonably possible. If we withdraw a product you have already bought, your download access and license stay available unless the product was removed for legal reasons, infringement or security risk; in that case we may refund you.
Suspension and termination
- By us: we may warn, restrict, suspend or close an account, remove content or revoke access if you breach these Terms or a policy, commit or are suspected of fraud, put others or the Service at risk, or if the law requires it. Where reasonable we will tell you why and how to respond. Repeat infringers will be terminated.
- By you: you can close your account at any time from your profile page, subject to the limits there (for example while a payment, refund or payout is still open).
- Effect: access ends, but licenses you already hold for products you paid for stay valid under their terms unless the account was closed for fraud, a chargeback abuse or a serious breach of the license. If we close your account without cause, we will refund recent orders that you have not been able to use. Sections that by their nature should continue (licenses already granted, fees owed, intellectual property, disclaimers, liability, governing law) survive termination.
Disclaimers
The Service and all products are supplied by independent Sellers. To the fullest extent permitted by law, the Service is provided "as is" and "as available" and we give no warranty that it, or any product, is error-free, secure, always available, or fit for your particular purpose. Product descriptions, compatibility statements and demos are provided by Sellers. Your statutory rights as a consumer, including the right to a product that is as described and of satisfactory quality, are not affected.
Limitation of liability
- Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or your statutory consumer rights.
- Subject to that, we are not liable for indirect or consequential loss, loss of profit, revenue, business, goodwill or data, or for losses caused by a product, a Seller, a payment provider, or by your own server or software.
- Where our liability can be limited, our total liability for all claims relating to an order is limited to the amount you paid for the product that gave rise to the claim, and for all other claims to the amount you paid us in the 12 months before the claim arose.
- Sellers are responsible for their own products and services; our liability for them is only as stated here.
Your responsibility
If you are a business or a Seller, you will compensate us for losses, claims and reasonable legal costs that arise from your breach of these Terms or the law, your content, or your products (for Sellers: see the Seller Terms). If you are a consumer, this clause applies only to the extent the law allows and never limits your statutory rights.
Export controls and sanctions
You confirm that you are not on a sanctions list and are not located in a country or territory under comprehensive sanctions, and that you will not use the Service or a product in breach of applicable export-control and sanctions law. We may refuse service where the law requires.
Governing law and disputes
- These Terms and any dispute about them or the Service are governed by [governing law: set it in Admin > Site profile], without removing any mandatory consumer protection of the country where you live.
- Please contact us first at support@codemercio.com. We will try to resolve a complaint within 30 days.
- If we cannot settle it, disputes go to [courts / venue: set it in Admin > Site profile]. If you are a consumer, you may also bring a claim in the courts of the country where you live, and you keep any mandatory rights you have under the law there.
- EU and EEA consumers may also be able to use an out-of-court dispute-resolution body in their country. We are not obliged to take part unless the law requires it, but we will consider any reasonable request.
Changes to these Terms
We may update these Terms, for example for new features, legal changes or security. For material changes we will give at least 14 days' notice on the site or by email before they apply to you, except where a change is required immediately by law. The "last updated" date at the top changes with every version. If you do not accept a change, stop using the Service and close your account before it takes effect; continued use afterwards means you accept the new version. Changes never reduce the license you got with an earlier purchase: each order stays subject to the license terms that applied when you bought it.
General
These Terms (with the policies listed above) are the whole agreement between you and us about the Service. If a clause is found unenforceable, the rest stays in force. A failure to enforce a right is not a waiver. You may not transfer your rights under these Terms without our consent; we may transfer ours as part of a business transfer. We are not liable for delay or failure caused by events beyond our reasonable control. We may give you notices by email, by an in-account message or on the site. Nobody other than you and us has rights to enforce these Terms. If these Terms are translated, the English version prevails where the law allows.
